Terms of Use and Sale

These Website Terms of Use and Sale (the “Terms”) govern access to and use of www.pathpeptides.com and any related webpages, portals, accounts, content, communications, ordering functions, and services controlled by Path Peptides, LLC (“Path Peptides,” “Path,” “we,” “us,” or “our”) (collectively, the “Website”). These Terms also govern orders placed through the Website unless Path Peptides and the customer have executed a separate written agreement that expressly controls the same subject matter.

1. Acceptance; Authority; Electronic Contract

By accessing the Website, creating an account, clicking an acceptance box, submitting an order, or otherwise using the Website, you agree to these Terms and acknowledge the Privacy Policy. If you use the Website for an entity, you represent that you have authority to bind that entity; “you” and “your” include both you and that entity. If you do not agree, do not access or use the Website.

You consent to transact electronically and to receive records, notices, disclosures, and signatures electronically. You may retain these Terms by printing or saving them. A separate signed agreement, credit application, distribution agreement, purchase order accepted in writing by Path, or product-specific terms may supplement these Terms. If terms conflict, the more specific signed or expressly accepted writing controls for that transaction.

2. Definitions

“Qualified Customer” means a person or entity that Path Peptides has determined, in its discretion, is eligible to access restricted content or purchase Products, which may include licensed healthcare professionals, professional practices, clinics, laboratories, research institutions, universities, approved distributors, and other verified business customers.

“Products” means products, materials, samples, documentation, certificates of analysis, and related items offered or supplied by Path Peptides. Product-specific labeling, specifications, written restrictions, and accepted order terms are incorporated into these Terms.

3. Eligibility and Professional-Only Access

You must be at least 18 years old, have legal capacity to contract, act for bona fide professional or institutional purposes, and satisfy all eligibility requirements established by Path Peptides. Path may require verification before or after account creation or order submission, including professional license information, business formation records, tax or resale documentation, facility information, intended-use certifications, identity verification, or other reasonably relevant records.

Path may approve, deny, condition, suspend, re-verify, or revoke eligibility or access at any time when reasonably necessary for legal compliance, safety, fraud prevention, supply allocation, sanctions screening, export controls, or protection of Path, its customers, or the public. Approval of an account or order is not a representation that any proposed use is lawful or appropriate.

4. Product Status, Labeling, and Permitted Use

Each Product may be used only for the uses expressly stated on its product-specific label, packaging, specifications, certificate of analysis, and written materials supplied by Path Peptides, and only in compliance with all applicable federal, state, local, and foreign laws, regulations, professional standards, facility protocols, and licensing requirements.

Unless Path expressly states otherwise in product-specific written materials, Products are not represented as approved drugs, compounded drugs, dietary supplements, foods, cosmetics, or medical devices, and are not offered for personal, household, or self-treatment use. “For Professional Use Only” is a restriction on eligibility and use; it is not a representation that any Product is authorized for any particular clinical, diagnostic, therapeutic, compounding, dispensing, or human or veterinary use.

Without limiting the foregoing, you must not use, administer, prescribe, dispense, compound, distribute, or resell a Product for human or veterinary use unless that specific activity is permitted by applicable law, is consistent with the Product’s written labeling, and has been expressly authorized for the transaction by Path Peptides in writing. You are solely responsible for obtaining all licenses, approvals, protocols, consents, authorizations, and professional oversight required for your activities.

You must not remove, obscure, alter, copy, or replace any label, lot number, expiration or retest date, storage instruction, warning, certificate, or traceability information; adulterate or misbrand a Product; make unsubstantiated safety, efficacy, disease, weight-loss, structure/function, or therapeutic claims; or imply that Path endorses any use, formulation, regimen, service, or downstream product that Path has not expressly approved in writing.

5. No Medical, Clinical, or Regulatory Advice

Website content is provided for general business and informational purposes. It is not medical, clinical, pharmacy, compounding, legal, regulatory, or other professional advice and must not be used as a substitute for independent professional judgment, product-specific documentation, or advice from qualified counsel and regulatory professionals. Path Peptides does not establish a patient-provider relationship and does not diagnose, prescribe, recommend treatment, determine dosing, compound patient-specific products, or dispense medications.

References to scientific publications, mechanisms, analytical results, or research are not representations that a Product is safe, effective, approved, or appropriate for a particular use. You are responsible for independently evaluating all information and for complying with applicable law.

6. Accounts and Credentials

You must provide complete, current, and accurate information and promptly update it. You may not create an account using another person’s credentials, transfer an account, share authentication credentials, or permit unauthorized use. You are responsible for activity under your account and must promptly notify support@pathpeptides.com of suspected compromise, unauthorized activity, or changes affecting eligibility.

Path may rely on information submitted through an account as authorized by the account holder. You remain responsible for implementing appropriate internal authorization, segregation of duties, purchasing controls, and cybersecurity practices.

7. Product Information and Availability

Path endeavors to present accurate information, but product descriptions, images, availability, specifications, concentrations, quantities, packaging, lead times, and pricing may change and may contain errors. Images are illustrative. Product-specific labels and documents accompanying the Product control over general Website content. Path may correct errors, update information, limit quantities, substitute equivalent packaging when permitted, or discontinue a Product without prior notice.

8. Orders; Acceptance; Cancellation

A Website listing is an invitation to submit an order and is not an offer. Your order is an offer to purchase under these Terms and any order-specific terms. An automated acknowledgment confirms receipt only. An order is accepted only when Path issues an express acceptance, ships the Product, or otherwise begins performance. Path may reject or cancel an order before acceptance, including for verification, compliance, safety, fraud, pricing, inventory, sanctions, export, or payment concerns.

You may request cancellation before shipment, but cancellation is effective only if Path confirms it in writing. Custom, made-to-order, temperature-controlled, short-dated, regulated, or specially procured Products may be noncancelable. If Path cancels an accepted prepaid order, Path will refund the amount paid for the canceled item, which is your exclusive remedy unless applicable law requires otherwise.

9. Prices, Taxes, Payment, and Fraud Review

Prices are stated in U.S. dollars unless otherwise shown and exclude taxes, shipping, insurance, customs, duties, permits, and similar charges. You are responsible for all applicable charges except taxes imposed on Path’s net income. Tax-exempt customers must provide valid documentation before invoicing or checkout; Path may charge tax until acceptable documentation is received.

Payment is due as displayed at checkout, stated on an invoice, or agreed in writing. You authorize Path and its payment providers to charge the selected method for all amounts due and to perform fraud, identity, sanctions, and payment-risk screening. You must not initiate an improper chargeback. Before disputing a charge with a payment provider, contact support@pathpeptides.com and allow a reasonable opportunity to investigate. Path may recover reasonable costs and fees arising from a bad-faith or fraudulent chargeback to the extent permitted by law.

10. Shipping; Delivery; Title and Risk of Loss

Shipping dates and transit times are estimates unless Path expressly guarantees them in writing. Delays caused by carriers, weather, supply constraints, customs, government action, temperature excursions, force majeure events, or incorrect customer information do not constitute breach by Path. You must provide a secure, lawful, and suitable delivery location and ensure prompt receipt by trained personnel.

Unless an accepted order states otherwise, title and risk of loss pass to you when Path tenders the shipment to the carrier, subject to any nonwaivable law. Path may select the carrier and shipping method. You are responsible for import, export, customs, permits, and compliance requirements unless expressly agreed otherwise in writing.

11. Inspection, Nonconformity, Returns, and Refunds

Inspect each shipment immediately upon receipt, including packaging integrity, quantity, identity, lot information, temperature indicators when applicable, and visible damage. Preserve all packaging and evidence. Notify support@pathpeptides.com in writing within three (3) business days after delivery of any shipping damage, shortage, or apparent nonconformity, and before using or altering the Product. Latent issues must be reported promptly after discovery and within any product-specific warranty period.

Because of product integrity, chain-of-custody, and storage considerations, all sales are final unless the Product is eligible under Path’s posted Refund Policy or Path issues written return authorization. No Product may be returned without authorization and required shipping instructions. Path may, after reasonable verification, replace a qualifying Product, issue a credit, or refund the purchase price. These remedies are exclusive for an accepted return or nonconformity except to the extent applicable law requires otherwise.

12. Storage, Handling, Safety, and Records

You are solely responsible after delivery for qualified personnel, secure access, storage conditions, temperature monitoring, handling, transportation, chain of custody, facility controls, waste disposal, incident response, and maintenance of records appropriate to the Product and your activities. You must follow all product-specific instructions and immediately quarantine any Product reasonably suspected of damage, contamination, mislabeling, tampering, or temperature excursion.

You must promptly cooperate with reasonable safety notices, corrections, market withdrawals, recalls, traceability requests, or investigations. Path may require confirmation of inventory, downstream recipients, quarantine, return, destruction, or other corrective action.

13. No Unauthorized Resale, Distribution, or Export

You may not resell, distribute, broker, transfer, export, re-export, relabel, repackage, advertise, or incorporate a Product into another product or service except under a separate written agreement with Path Peptides and in compliance with applicable law. You may not sell or transfer Products to patients, retail consumers, unverified persons, sanctioned parties, prohibited end users, or prohibited destinations. You must comply with U.S. export controls, sanctions, anti-diversion rules, and all destination-country requirements.

14. Electronic and Marketing Communications

We may send transactional or relationship communications concerning accounts, orders, safety, recalls, security, legal notices, and service changes. Marketing emails will include an unsubscribe method as required by law. Unsubscribing from marketing does not stop necessary transactional, safety, or legal messages. Text-message marketing will not be sent unless Path implements a separate, legally sufficient opt-in and messaging disclosure. Consent to marketing is not a condition of purchase.

15. Limited Website License and Intellectual Property

Subject to these Terms, Path grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website for your internal lawful business purposes. The Website, trademarks, trade names, logos, product names, layouts, graphics, text, databases, software, documentation, photographs, videos, and other content are owned by or licensed to Path and protected by intellectual-property laws.

Except as expressly authorized in writing, you may not copy, reproduce, modify, translate, publish, distribute, sell, sublicense, scrape, crawl, frame, mirror, reverse engineer, create derivative works from, or commercially exploit the Website or content; use Path marks in advertising, metatags, domain names, or social handles; or remove ownership notices.

16. Submissions and Feedback

Do not submit patient information, protected health information, consumer health data, confidential third-party data, or information you are not authorized to disclose. You represent that you have all rights needed for information you submit. Path may use submissions to operate the Website, evaluate eligibility, fulfill orders, respond to requests, maintain compliance and security, and exercise its rights as described in the Privacy Policy.

If you voluntarily provide ideas, suggestions, or feedback not subject to a separate confidentiality agreement, you grant Path a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate that feedback without restriction or compensation. This provision does not transfer ownership of your preexisting confidential information.

17. Prohibited Conduct

You may not:

• violate law, professional standards, sanctions, export controls, or another person’s rights;
• misrepresent identity, licensure, affiliation, authority, intended use, destination, or eligibility;
• seek Products for personal, household, self-treatment, unauthorized clinical, or other prohibited use;
• circumvent account, age, qualification, purchase, geographic, security, or technical restrictions;
• introduce malware, interfere with operation, probe vulnerabilities, or access systems or data without authorization;
• use automated means to scrape, harvest, monitor, or extract Website data except with Path’s written permission;
• use Website content or Products to make false, misleading, unsubstantiated, or unauthorized claims; or
• assist another person in doing any prohibited act.

18. Third-Party Services and Links

The Website may integrate or link to payment processors, carriers, analytics providers, identity or license verification services, publications, or other third parties. Third-party services are governed by their own terms and privacy practices. Path does not control and is not responsible for third-party content, availability, security, or conduct. A link or integration is not an endorsement.

19. Privacy and Security

Path’s Privacy Policy describes its handling of personal information. No system is completely secure. You are responsible for using secure devices, networks, credentials, and internal procedures. If you become aware of unauthorized access, a security incident, diversion, or misuse relating to the Website or Products, notify Path promptly at support@pathpeptides.com.

20. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” PATH DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES RELATING TO THE WEBSITE, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, NON-INFRINGEMENT, MERCHANTABILITY, AND FITNESS FOR A PARTICULAR PURPOSE.

EXCEPT FOR ANY EXPRESS PRODUCT-SPECIFIC LIMITED WARRANTY IN AN ACCEPTED ORDER OR WRITTEN DOCUMENT ISSUED BY PATH, PRODUCTS ARE PROVIDED “AS IS,” AND PATH DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTY OF MERCHANTABILITY AND THE IMPLIED WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE. NO ORAL STATEMENT, WEBSITE CONTENT, SALES COMMUNICATION, PUBLICATION, OR CERTIFICATE CREATES A WARRANTY EXCEPT AS EXPRESSLY STATED IN A WRITING AUTHORIZED BY PATH.

Some jurisdictions do not permit certain disclaimers. In those jurisdictions, the disclaimers apply only to the extent permitted by law.

21. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATH AND ITS AFFILIATES, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, OR OPPORTUNITY; BUSINESS INTERRUPTION; PROCUREMENT OF SUBSTITUTE GOODS; OR CLAIMS ARISING FROM DOWNSTREAM USE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF PATH AND THE FOREGOING PARTIES ARISING FROM A PRODUCT OR ORDER WILL NOT EXCEED THE AMOUNT ACTUALLY PAID TO PATH FOR THE SPECIFIC PRODUCT OR ORDER GIVING RISE TO THE CLAIM. FOR CLAIMS RELATING ONLY TO WEBSITE ACCESS AND NOT A PURCHASE, AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100.00).

These limitations do not apply to liability that cannot lawfully be limited or excluded. The limitations allocate risk and are an essential basis of the bargain.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE FOREGOING EXCLUSIONS AND LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

22. Indemnification

To the maximum extent permitted by law, you will defend, indemnify, and hold harmless Path and its affiliates, members, managers, officers, employees, contractors, licensors, and service providers from claims, demands, proceedings, damages, penalties, recalls, losses, liabilities, costs, and reasonable attorneys’ fees arising from or relating to: (a) your breach of these Terms; (b) your Product handling, storage, marketing, resale, distribution, export, formulation, compounding, administration, dispensing, use, or disposal; (c) your professional services or representations; (d) your violation of law or third-party rights; or (e) information or materials you submit. Path may control the defense with counsel of its choosing, and you may not settle a claim imposing liability, admission, or obligation on Path without Path’s written consent.

23. Suspension and Termination

Path may suspend or terminate Website access, accounts, eligibility, or pending transactions when reasonably necessary to enforce these Terms, comply with law, address safety or security, prevent fraud or diversion, protect supply, or protect Path or others. Provisions that by their nature should survive will survive, including payment, use restrictions, intellectual property, disclaimers, limitations, indemnification, dispute terms, and miscellaneous provisions.

24. Force Majeure

Path is not liable for delay or failure caused by events beyond its reasonable control, including natural disasters, severe weather, fire, epidemic, public-health event, labor disruption, war, terrorism, civil unrest, cyberattack, utility or internet failure, carrier delay, material shortage, supplier failure, equipment failure, governmental action, embargo, sanction, recall, or change in law. Path may allocate available supply among customers in a commercially reasonable manner.

25. Governing Law; Exclusive Forum; Jury-Trial Waiver

These Terms and disputes arising from or relating to the Website, Products, or transactions are governed by Florida law, without regard to conflict-of-law rules, except that the Federal Arbitration Act will govern any separate written arbitration agreement. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Before filing suit, a party must send written notice describing the dispute and requested relief and allow thirty (30) days for good-faith resolution, except for emergency injunctive relief, intellectual-property misuse, security incidents, fraud, collection of undisputed amounts, or expiration of a limitations period. Subject to any controlling signed agreement, the state courts located in Miami-Dade County, Florida and the United States District Court for the Southern District of Florida have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there.

A breach or threatened breach involving Path's intellectual property or nonpublic information, Website or account security, Product diversion, or unlawful Product use may cause irreparable harm for which monetary damages would be inadequate. Path may seek temporary, preliminary, and permanent injunctive or other equitable relief without waiving any other remedy and, to the extent permitted by law, without posting bond or proving actual damages.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY KNOWINGLY AND VOLUNTARILY WAIVES TRIAL BY JURY IN ANY ACTION ARISING FROM OR RELATING TO THESE TERMS, THE WEBSITE, PRODUCTS, OR A TRANSACTION.

26. Changes to the Website and Terms

Path may modify the Website and these Terms. The revised Terms will identify the updated date and become effective when posted, or on a later stated date. Material changes will apply prospectively unless law permits otherwise. Continued use after the effective date constitutes acceptance. Changes to an already accepted order require agreement as provided in the applicable order or law.

Path may modify, suspend, withdraw, or discontinue any Website feature, content, or functionality, temporarily or permanently, with or without notice, and will not be liable for doing so; provided, however, that this sentence does not alter Path's obligations under an accepted order, accrued payment or refund obligations, or rights or remedies that cannot be waived under applicable law.

27. Miscellaneous

These Terms, the Privacy Policy, product-specific documents, accepted order terms, and any controlling signed agreement constitute the applicable agreement between you and Path. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remainder will remain effective. Path’s failure to enforce a provision is not a waiver. You may not assign rights or obligations without Path’s prior written consent; Path may assign these Terms in connection with a merger, reorganization, financing, asset transfer, or change of control. No agency, partnership, joint venture, employment, fiduciary, franchise, or patient-provider relationship is created. Headings are for convenience only. “Including” means “including without limitation.”

These Terms are for the sole benefit of the parties and their permitted successors and assigns. No other person or entity is an intended third-party beneficiary or has any right or remedy under these Terms.
